1. INTRODUCTION

Royalmark Graphic & IT Experts (“Company”, “we”, “our”, or “us”) provides software development, sales, and IT solutions. By purchasing, using, or accessing any of our software, you (“Client”, “User”) agree to abide by these policies, terms, and conditions. Ignorance of these terms does not exempt users from compliance.

These policies cover software usage, licensing, data security, updates, support, third-party integrations, refund policies, and legal responsibilities. This document applies to all software solutions provided by Royalmark Graphic & IT Experts and aims to protect both the company and its clients from potential misunderstandings and legal disputes.


2. SOFTWARE USAGE POLICY

  • Software Licensing: Each software license is valid for a single installation unless stated otherwise. Licenses are non-transferable unless prior written permission is granted by Royalmark Graphic & IT Experts.
  • Responsibility for Data Entry: Clients are solely responsible for data entry accuracy. Any mistakes made without consulting our support team are not our responsibility.
  • Training & Demo Accounts:
    • We provide a free demo account for training and learning at https://demo.royalmark.it/login (Username: admin, Password: royalmark).
    • Misuse of the demo account (e.g., printing receipts, conducting real transactions) is strictly prohibited.
    • For software without an online demo, we offer free training until the client fully understands the system.
  • Software Restrictions:
    • Reverse engineering, modifying, or reselling our software without authorization is strictly prohibited.
    • Clients must not use the software for fraudulent or illegal activities.

3. THIRD-PARTY INTEGRATIONS

Our software integrates with various third-party services to enhance functionality, including but not limited to:

  • Mpesa (Payments Processing)

  • Safaricom (SMS Services)

  • KRA (Tax Compliance)

  • Google (SEO, Analytics)

  • Cloudflare (Security Enhancements)

  • Other third-party APIs as necessary

  • Client Responsibility:

    • Clients must comply with the respective third-party policies before requesting integration.
    • Royalmark Graphic & IT Experts is not liable for downtime, policy changes, or disruptions caused by third parties.
    • If a third-party service fails without notice, we will liaise with the provider to resolve the issue, but clients must wait for service restoration.
  • Unauthorized Use: Any client who violates third-party terms is solely responsible for the consequences.


4. SOFTWARE UPDATES & SUPPORT

  • Our software receives periodic updates for performance, security, and feature improvements.
  • Clients with an active license receive free updates, unless customizations or additional integrations are requested.
  • Custom Development:
    • Any requested modifications beyond the standard software features are subject to additional costs.
    • The estimated time for custom modifications will be communicated before development begins.
  • Technical Support:
    • Our support team is available 24/7 for licensed software users.
    • Clients should report software issues only through our verified WhatsApp account or email to ensure prompt assistance.
    • Unauthorized third-party modifications void support and warranties.

5. DATA SECURITY & PRIVACY

  • Data Protection:
    • All client data is fully encrypted and accessible only to the client.
    • We do not sell, share, or expose client data to any external party.
  • Legal Compliance:
    • If required by law, client data may be released only upon an official, signed, and stamped government request under Kenyan law.
    • Clients must provide official legal documentation before requesting any sensitive data from our servers.
  • Client Responsibilities:
    • Clients must keep their login credentials secure. We are not responsible for data breaches caused by weak passwords or negligence.
    • Regular backups are recommended for business continuity.

6. REFUND POLICY

  • Eligibility for Refunds:
    • Refunds are only applicable within 60 days from the installation date.
    • Refunds are not provided for issues caused by third-party service failures.
    • If the software is faulty and does not meet the promised functionality, a license fee refund will be processed.
  • Non-Refundable Situations:
    • If the client misuses the software or violates any policies, refunds will not be issued.
    • Custom development fees, additional training costs, or third-party integration fees are not refundable.
  • Processing Time:
    • Refunds are processed within 24 hours, but in some cases, delays may occur depending on the reason.
    • Clients must submit an official refund request through our verified support channels.

7. LIMITATION OF LIABILITY

  • No Liability for Losses:
    • We are not responsible for any financial or data losses due to misuse, non-compliance, or third-party disruptions.
  • No Responsibility for Ignorance:
    • Clients must read and understand these terms before purchase. Ignoring these policies does not exempt anyone from compliance.
  • Legal Compliance:
    • Software must not be used for unlawful activities. Any misuse resulting in legal action is the client’s responsibility.

8. SOFTWARE LICENSING & TERMINATION

  • License Agreements:
    • Software licenses are issued based on client agreements. Unauthorized resale or duplication is strictly prohibited.
  • Termination Policy:
    • If a client is found violating the terms, their license may be revoked without notice.
    • Royalmark Graphic & IT Experts reserves the right to terminate software access for any user engaging in malicious activities.

9. POLICY CHANGES

  • Right to Modify:
    • We reserve the right to update these terms at any time. Clients will be notified of major changes.
    • Continued use of our software after an update implies acceptance of the revised terms.
  • Client Acknowledgment:
    • By using our software, the client acknowledges and agrees to these terms and conditions.

10. GOVERNING LAW

These Terms & Conditions are governed by the laws of Kenya. Any disputes arising from the use of our software shall be resolved in accordance with Kenyan law.
