1. INTRODUCTION

Royalmark Graphic & IT Experts ("Company", "we", "our", or "us") provides professional software development, IT support, and digital solutions. By purchasing, installing, using, or accessing any of our software systems — including Royalmark POS System and Royalmark Rental Management System — you ("Client", "User") agree to fully comply with these terms and conditions.

Ignorance of these policies does not exempt the user from compliance. These terms govern software usage, communication protocols, data handling, third-party integrations, refund policies, and user responsibilities. They are designed to protect both Royalmark Graphic & IT Experts and its clients from misuse, misrepresentation, and legal risks.

2. SOFTWARE USAGE POLICY

2.1 Licensing:

Each software license is valid for one installation or domain unless otherwise stated. Licenses are non-transferable without prior written approval from Royalmark Graphic & IT Experts.

2.2 Data Entry Responsibility:

Clients are responsible for maintaining accurate and lawful data entries. Errors resulting from negligence or unauthorized data editing will not be the company's responsibility.

2.3 Training & Demo Accounts:

  • Demo accounts are provided free at https://demo.royalmark.it/login (Username: admin, Password: royalmark).
  • Demo accounts must not be used for real or financial transactions.
  • Free training is provided until the client fully understands system usage.

2.4 Software Restrictions:

  • Reverse engineering, duplication, or reselling of our software without authorization is strictly prohibited.
  • Use of our systems for fraudulent, unlawful, or unethical activities is forbidden.
  • Violations may result in license termination and legal action.

3. COMMUNICATION POLICY (EMAIL, SMS & WHATSAPP)

3.1 Verified Communication Channels:

All official communication from Royalmark Graphic & IT Experts shall originate only from verified and approved channels, including:

  • Official Website: https://royalmark.it
  • Verified WhatsApp Business Account
  • Registered SMS Sender IDs approved by Kenyan network service providers

No employee or representative is permitted to communicate outside these verified channels for company or system-related matters.

3.2 Client Communication & Consent:

By using our software, clients consent to receive official updates, invoices, technical alerts, and system notifications via email, SMS, and WhatsApp.

Clients may unsubscribe from promotional messages but must continue receiving critical operational notifications.

3.3 Communication Compliance:

All our communication practices comply with:

  • Meta's WhatsApp Business Policy
  • Google and Microsoft Email Sender Guidelines
  • Kenya Communications Authority (CAK) and local network provider SMS policies

We maintain message transparency, opt-out options, and anti-spam compliance in all digital communication.

3.4 Misuse of Company Identity:

  • Any unauthorized use of our company name, software name (e.g., "Royalmark POS" or "Royalmark Rental Management System"), email address, WhatsApp number, or SMS ID for impersonation, phishing, or misinformation shall attract a penalty of KES 20,000 and potential legal action under Kenyan law.
  • Clients must immediately report any suspicious or misleading communication that appears to originate from Royalmark.

3.5 Communication Integrity:

Clients are expected to use verified company contacts when seeking support.

Royalmark shall not be liable for misinformation, fraud, or losses caused by communication through unverified sources.

4. THIRD-PARTY INTEGRATIONS

Our software integrates seamlessly with several third-party platforms, including:

  • M-Pesa (Payments)
  • Safaricom & Other Network Providers (SMS and USSD)
  • KRA iTax (Tax Integration)
  • Google APIs (Analytics, SEO, Maps)
  • Cloudflare (Security)
  • Other authorized API services as required

Client Responsibilities:

  • Clients must comply with the respective third-party terms before integration.
  • Royalmark is not liable for downtime or service interruptions caused by third-party issues.
  • Any breach of third-party usage policies is solely the client's responsibility.

5. BANK INTEGRATION POLICY

Royalmark Graphic & IT Experts has official partnerships and integrations with all major local banks to facilitate secure financial transactions through our systems.

5.1 Banking Standards Compliance:

  • All bank integrations strictly adhere to Central Bank of Kenya (CBK) regulations and the internal data privacy policies of respective banks.
  • Our software enforces encryption, transaction logging, and secure channel protocols in all banking operations.

5.2 Liability:

  • Royalmark does not store clients' banking credentials.
  • Any unauthorized access caused by third-party or user negligence is not the company's responsibility.

5.3 Software-Bank Alignment:

All bank features in our software comply with each institution's technology and compliance frameworks.

Our products are continuously updated to align with evolving financial security standards.

6. SOFTWARE UPDATES & SUPPORT

  • Regular updates are provided for performance, security, and compliance improvements.
  • Clients with active licenses receive updates free of charge unless customization is involved.
  • Support is available 24/7 via our verified communication channels only.
  • Unauthorized modifications void warranties and support eligibility.

7. DATA SECURITY & PRIVACY

  • All client data is encrypted and stored in secure environments.
  • We never share, sell, or expose client data to unauthorized parties.
  • Data may be released only upon a lawful, stamped, and signed request from a recognized Kenyan authority.
  • Clients are responsible for securing their credentials and maintaining backups.

8. REFUND POLICY

Refunds are only valid within 60 days of installation for genuine technical issues caused by our software.

Refunds are not issued for third-party failures, custom work, or user negligence.

All refund requests must be submitted via our verified channels.

9. LIMITATION OF LIABILITY

  • Royalmark is not responsible for any financial, data, or reputational losses resulting from user error, third-party disruption, or misuse.
  • Clients must understand and comply with all policies before software use.

10. SOFTWARE LICENSING & TERMINATION

  • Software licenses are issued per client agreement.
  • Any violation of terms may lead to license suspension or termination without refund.
  • Malicious or fraudulent activities will result in immediate legal action.

11. POLICY CHANGES

We reserve the right to update these terms as needed.

All clients will be notified via verified communication channels.

Continued use after updates indicates acceptance of the revised terms.

12. GOVERNING LAW

These Terms & Conditions are governed by the Laws of Kenya, and any disputes shall be resolved under the Kenyan legal framework.
